1. Acceptance of Terms

By accessing or using FloridaAnnualFiling.com ("the Site"), operated by YYVZ LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Site or our services.

By checking the agreement checkbox before submitting payment, you expressly acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, including the No Refund Policy described in Section 4.

2. Description of Service

FloridaAnnualFiling.com is a third-party filing service that assists businesses in filing their Florida Annual Reports with the Florida Division of Corporations (SunBiz). Our service includes searching SunBiz for your company information, verifying entity details, collecting payment, and submitting the annual report on your behalf.

Important Disclaimers:

  • We are NOT a law firm and do not provide legal advice. Our service is limited to the preparation and submission of annual report filings.
  • We are NOT affiliated with, endorsed by, or a part of the State of Florida, the Florida Division of Corporations, or SunBiz.org. We are an independent, private third-party service provider.
  • You may file your annual report directly with the Florida Division of Corporations at sunbiz.org by paying only the state filing fee.

3. Pricing and Payment

Our total charges consist of three components:

  • State Filing Fee:Varies by entity type and is set by the Florida Division of Corporations. This fee is paid directly to the state on your behalf.
  • Service Fee:$99.00 — This is our fee for searching, verifying, preparing, and submitting your annual report filing.
  • Processing Fee:4% of the total amount — This covers credit card processing charges.

The total amount is calculated and displayed to you before you submit payment. The total varies based on your entity type (LLC, Corporation, Nonprofit, Limited Partnership, etc.) and the filing date (standard filing vs. late filing after the state deadline). By proceeding with payment, you agree to the total amount shown.

All payments are processed securely through Stripe. We accept major credit and debit cards.

4. No Refund Policy

ALL SALES ARE FINAL. NO REFUNDS WILL BE ISSUED UNDER ANY CIRCUMSTANCES.

By checking the agreement checkbox and submitting your payment, you acknowledge and agree that:

  • Once payment is processed, no refunds, credits, or chargebacks will be issued for any reason whatsoever.
  • This no-refund policy applies even if the annual report filing is rejected by the Florida Division of Corporations for any reason, including but not limited to errors in the information you provided.
  • This no-refund policy applies even if you provided incorrect, incomplete, or outdated information for the filing.
  • This no-refund policy applies even if you change your mind after payment has been submitted.
  • This no-refund policy applies even if you have already filed your annual report through another method or directly with the state.
  • Both the state filing fee and the service fee are non-refundable once payment is processed.

You expressly acknowledge this No Refund Policy by checking the "I agree to the Terms of Service" checkbox before completing your purchase. This checkbox serves as your electronic signature and binding agreement to these terms.

5. Service Level and Processing Time

We aim to process and submit your annual report filing within 1 to 3 business days after receiving your payment. However, we do not guarantee any specific processing time or filing completion date.

Processing times may vary due to:

  • Volume of filings being processed
  • Technical issues with the SunBiz filing system
  • State system maintenance or downtime
  • Incomplete or inaccurate information requiring follow-up
  • Peak filing periods (particularly approaching the May 1 deadline)

You will receive an email confirmation once your filing has been submitted to the Florida Division of Corporations. The State of Florida's processing of the filing after our submission is beyond our control.

6. Customer Responsibilities

When using our service, you are responsible for:

  • Providing Accurate Information: You must ensure that all information you provide, including your name, email address, phone number, and any filing details, is accurate and complete. We are not responsible for errors or delays caused by inaccurate information.
  • Valid Email Address: You must provide a valid, working email address where you can receive order confirmations, filing updates, and correspondence from us.
  • Reviewing Information: You are responsible for reviewing all company and filing information displayed during the checkout process before submitting payment.
  • Authority to File: You represent that you are authorized to file the annual report on behalf of the entity and that the filing does not violate any laws or agreements.

7. Limitation of Liability

To the maximum extent permitted by applicable law, YYVZ LLC, its owners, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of our services.

Without limiting the foregoing, we are not liable for:

  • Delays in processing by the Florida Division of Corporations or any state agency after we have submitted your filing.
  • Rejection of your filing by the state due to inaccurate, incomplete, or outdated information you provided or that was retrieved from the SunBiz database.
  • Administrative dissolution, penalties, or late fees imposed by the state on your entity for any reason.
  • Temporary unavailability of the SunBiz filing system or our website due to technical issues, maintenance, or circumstances beyond our control.
  • Any actions taken or not taken by you based on information provided through our service.

In no event shall our total liability to you exceed the amount you paid to us for the specific service giving rise to the claim.

8. Intellectual Property

All content on the Site, including text, graphics, logos, images, software, and the overall design and layout, is the property of YYVZ LLC or its licensors and is protected by United States copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, or publicly display any content from the Site without our prior written consent.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

10. Dispute Resolution

Any disputes, claims, or controversies arising out of or relating to these Terms or your use of our services shall be resolved exclusively in the state or federal courts located in Duval County, Florida. By using our services, you consent to the personal jurisdiction and venue of such courts and waive any objection to such jurisdiction or venue.

Nothing on this website or in our communications constitutes legal, tax, or professional advice. If you need legal advice regarding your business entity, corporate compliance, or any other legal matter, you should consult with a licensed attorney.

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Indemnification

You agree to indemnify, defend, and hold harmless YYVZ LLC and its owners, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of our services; (b) your breach of these Terms; (c) any inaccurate or incomplete information you provide; or (d) your violation of any applicable law or regulation.

13. Modification of Terms

We reserve the right to modify these Terms at any time at our sole discretion. When we make changes, we will update the "Effective Date" at the top of this page. Material changes will be communicated through a notice on the Site. Your continued use of the Site after any modifications constitutes your acceptance of the updated Terms. If you do not agree with the modified Terms, you must discontinue use of the Site.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and YYVZ LLC regarding your use of the Site and our services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
